Job Summary:

Ropes & Gray LLP’s Boston, Massachusetts office has multiple positions open for a Mid-Level Associate (Lawyer), Strategic Transactions Group (Mergers & Acquisitions).

Duties/Responsibilities:

Assist in advising clients, particularly public and private companies and investors in the life sciences, biotechnology, pharmaceutical, medical device, health care and technology industries, on strategic transactions, including mergers and acquisition transactions. Aid in conducting, organizing and supervising transaction due diligence efforts with core deal team and specialist teams, including supervising and liaising with junior lawyers, preparing issues lists, and analyzing material issues discovered during diligence. Draft and negotiate purchase, sale, merger and joint venture agreements, along with transaction disclosure schedules. Review and revise initial drafts of ancillary transaction documents, such as escrow and confidentiality agreements. Supervise the preparation of transaction closing memos, diligence memos and closing sets. Advise M&A clients on post-closing matters, including transition services and integration matters. Leverage knowledge of general corporate and securities law to provide wide range of general corporate governance services including drafting and reviewing organizational documents, resolutions, opinions and securities filings. Serve as primary point of contact for clients, outside advisors and opposing counsel in mergers and acquisition transactions. Supervise teams of colleagues to effectuate corporate transactions, including delegating to and training of junior attorneys.

Required Skills/Abilities:

Juris Doctor (JD), Master of laws (LLM), or foreign equivalent. Must have three years of experience in the job offered or related. Must have three years of legal experience in U.S. or cross-border mergers and acquisitions, including the following: Representing companies (both public and private) and investors, particularly in the biotechnology, pharmaceutical, medical device, health care and technology industries, on strategic transactions and in general corporate matters, including ongoing corporate governance matters; Drafting and negotiating transaction disclosure schedules and ancillary transaction documents such as escrow and confidentiality agreements; Conducting transaction due diligence; Assisting in transaction closing processes and maintaining deal checklists; Advising mid-cap and large-cap public companies on post-closing matters, including transition services and integration matters; Managing teams of colleagues to effect corporate transactions, with a focus on mergers and acquisitions. Must be member of the Massachusetts State Bar. Must successfully pass pre-employment (post-offer) background check. M-F, 40 hrs/wk. Multiple, full-time openings.
