Ropes & Gray’s Non-Disclosure Agreement (NDA) Attorneys are integral members of a collaborative team, specializing in drafting, reviewing, and negotiating transactional NDAs on behalf of the firm’s clients. Their primary focus is to protect confidential information and facilitate clients’ efficient access to potential transactions. NDA Attorneys ensure that all agreements comply with applicable laws and effectively safeguard client interests, while managing the NDA review and negotiation process with efficiency and precision.

Key Responsibilities

Attorneys in this position will be expected to:

  • Draft, review, and negotiate NDAs;
  • Advise clients on the legal implications of NDAs;
  • Ensure NDAs comply with relevant laws and regulations;
  • Efficiently manage and close out several NDAs concurrently;
  • Promptly respond to communications from internal and external clients;
  • Maintain up-to-date knowledge of changes in laws and regulations related to NDAs; and
  • Provide guidance on NDA best practices to clients and colleagues.

Required Education, Experience, and Skills

Qualified candidates will have:

  • Juris Doctor (JD) degree from an accredited law school;
  • Admission to the bar in the relevant jurisdiction; 
  • Thorough understanding of contract law;
  • Proven ability to meticulously analyze complex legal documents, identify potential risks, and exercise sound judgment;
  • Clear and effective communications skills to explain complex legal concepts to stakeholders and clients;
  • Proven ability to manage a large workload and meet tight deadlines;
  • Drive to assume significant responsibilities; and   
  • Proficiency in document management software.

Compensation

In accordance with the Pay Transparency Law in Massachusetts, the anticipated pay range for this position is $110,000 - $210,000, which represents our good faith and reasonable estimate of the starting salary range at the time of posting this position. This position is also eligible for a discretionary, year-end bonus.
