Ropes & Gray LLP’s New York, New York office has multiple positions open for a Mid-Level Associate (Lawyer), Private Capital Transactions (Finance).
Duties/Responsibilities
Assist in all aspects of matters involving debt finance transactions, including borrower/private equity and lender-side representation, financing transactions in connection with initial public offerings, refinancings, repricings, recapitalizations, restructurings, and strategic transactions with large cap and middle market private equity firms or corporate borrowers. Draft, structure and negotiate definitive documentation and commitment letters and engagements across major bank arrangers and bond underwriters and their counsel alongside senior attorneys and Partners. Organize closing process including review of ancillary documentation and supervision of junior lawyers. Review and analyze financial definitions and financing representations and covenants in purchase and sale agreements (including merger agreements), including the negotiation of bank and/or bond marketing periods and financing cooperation provisions. Draft definitive documentation for debt finance transactions alongside more senior attorneys including cash flow and asset backed revolvers, term loan, split collateral and first-second lien credit agreements, note purchase agreements for mezzanine and holding company notes, high yield bond indentures and offering memorandums (including specifically descriptions of notes), bridge facilities, commitment/engagement letters and term sheets, security, guarantee, intercreditor and subordination arrangements for senior, subordinated and mezzanine financings. Draft and help to negotiate and finalize legal opinions related to the foregoing transactions.
Required Skills/Abilities
Juris Doctor (JD) degree, Master of law (LLM), or foreign equivalent. Must have 3 years of legal experience in debt finance transactions, including 3 years of experience with: Advising leveraged buyout transactions, including sell and buy-side representation, financing transactions related to initial public offerings, refinancings restructurings, leveraged finance, and other strategic transactions with large cap and middle market private equity firms; Representing private equity firms and their portfolio companies and corporate borrowers, negotiating the financing for acquisitions, strategic add on transactions, dividend recapitalizations (including both recapitalizations at the operating company and holding company level), and out of court restructurings and recapitalizations; Drafting and negotiating the following types of documents: cash flow and asset backed revolvers, term loan, split collateral and first-second lien credit agreements; note purchase agreements for mezzanine and holding company notes; high yield bond indentures and offering memorandums (including specifically descriptions of notes); bridge facilities; commitment/engagement letters and term sheets; security; guarantee, intercreditor; and subordination arrangements for senior, subordinated and mezzanine financings; Negotiating definitive documentation and commitment letters/engagements across major bank arrangers and bond underwriters; and Negotiating financing provisions in purchase and sale agreements (including merger agreements). Must have 2 years of experience with successfully managing teams of colleagues to effect finance transactions. Must be member of the New York State Bar. Must successfully pass pre-employment (post-offer) background check.
Compensation
The anticipated pay range for this position is $310,000 - $365,000 / year, which represents our good faith and reasonable estimate of the starting salary range at the time of posting. For compensation information, please click here.
