Job Summary:
Ropes & Gray, a leading global law firm, is seeking a highly skilled and self-driven Private Equity Associate to join our dynamic team. As a Private Equity Associate, you can expect to play a crucial role in providing legal counsel and support to our clients engaged in private equity transactions.
We are seeking a mid-level associate (3 - 5 years) with a large degree of proven experience representing private equity sponsors in connection with acquisitions, dispositions, and financings. This position will be in our New York office.
Duties/Responsibilities:
Associates in this position, will be expected to:
- Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and financing documents;
- Conduct thorough due diligence and research on potential investment opportunities;
- Advise clients on regulatory compliance issues related to private equity transactions;
- Assist in structuring and forming private equity funds;
- Provide ongoing guidance on client’s corporate transactions, corporate governance matters, and securities regulations;
- Collaborate with cross-functional teams to ensure the seamless execution of transactions;
- Lead various parts of transactions independently and manage deal processes;
- Supervise and support the professional development of junior colleagues; and
- Monitor industry trends, legal developments, and best practices in private equity law.
Required Skills/Abilities:
- Juris Doctor degree from an accredited law school.
- Admission in good standing to practice law in the state of New York.
- Three to five years of legal experience working on private equity transactions, preferably at a large law firm.
- Experience representing private equity and strategic investors.
- Extensive understanding of corporate governance and securities compliance in private equity deals.
- Practical experience with and familiarity with legal AI tools and platforms to efficiently handle corporate transactions.
- Well-versed in legal writing, negotiating terms and performing detailed analyses.
- Able to self-manage priorities and work effectively in a fast-paced, deadline-driven environment.
