Market-Leading Transactions

Ropes & Gray lawyers advised:

  • Stonepeak, a leading alternative investment fund specializing in infrastructure and real assets, in its agreement with the French shipping company CMA CGM to launch a U.S.-based port venture to be known as United Ports, valued at around USD 10 billion.

  • Aluminium Dunkerque and its management on the acquisition by Aluminium Bahrein (Alba) of Aluminium Dunkerque from American Industrial Partners (AIP).

  • Sanofi on its participation, as a strategic investor, in the €60 million capital increase carried out by Sensorion (listed on Euronext Growth), a clinical-stage biotechnology company focused on the development of novel therapies to restore, treat and prevent hearing loss disorders.

  • Taconic Biosciences, a Avista Healthcare Partners portfolio company, on the acquisition of TransCure bioServices, a preclinical research service provider specializing in the use of humanized immune system (HIS) mouse models.

  • PAI Partners on the sale of 40% of ECG, the European leader in outdoor accommodation, to Abu Dhabi Investment Authority (ADIA), for a value of around €600 million. Following this transaction, PAI will remain the majority shareholder of ECG.

  • PAI Partners on the acquisition of InnovAd from IK Partners.

  • Permira and Exclusive Networks on the take private of Exclusive Networks by a consortium comprising CD&R and Permira, for an enterprise value of €2.2bn.

  • Comet Software, a business software group, on the implementation of a €40 million acquisition line granted by Ares Management. This funding is intended to enable Comet Software to accelerate its European expansion.

  • TPG in connection with entering into a binding agreement with GE Vernova Inc. to acquire its Proficy® from Velotic™ manufacturing software business for $600 million.

  • Ares Management, acting as lender, in connection with the financing of the acquisition of ISLA DELICE by A&M Capital Europe. Isla Delice is a leading French brand in the halal food sector.

  • BNP Paribas, Crédit Agricole Corporate and Investment Bank and HSBC Continental Europe as arrangers and lenders, with BNP Paribas also serving as offer guarantor, in connection with the financing of the simplified tender offer by Amboise SAS for Altamir shares (listed on Euronext Paris).
